Torin calmly reads a long scroll with a coral pen in his hand

In short (the full text below is binding):

  • TORIN is for businesses only, for their trade.
  • You pay in advance with credits. You see the price of a paid action before it, and failed work costs nothing (exceptions in § 8).
  • Torin is artificial intelligence: an output may be wrong and you check it before use.
  • We change nothing on your clients' accounts without approval, and every approval is recorded.
  • Our liability is capped at the fees of the last three months, except for intentional damage.

Polish version: Regulamin. In case of discrepancy the Polish version prevails.

§ 1What these terms cover

  1. These terms govern the use of TORIN: the hiretorin.com website, the app, the client portal and the Torin Inbox mail (together: the Service).
  2. The Service is provided by the business named in the block at the top of this page (the Provider, “we”). For any matter, write to the address in the Email field.
  3. The agreement consists of these terms, the Data Processing terms (a processing agreement under Art. 28 GDPR, in Polish) and the price list in the app. The Privacy Policy explains what we do with your account data.
  4. These terms are terms of service within the meaning of the Polish Act on Providing Services by Electronic Means; they are available free of charge so that they can be downloaded, saved and printed.

§ 2Definitions

  1. Customer: a business that has entered into the agreement with us, for example a marketing agency or a company doing its own marketing.
  2. Account (in the app: agency): the Customer's workspace in the Service, with its team, end clients and credit balance.
  3. User: a person given access to the Account by the Customer.
  4. End client: a business for which the Customer does marketing and whose accounts it connects; it may have access to the client portal.
  5. Credit (żeton): the unit used to bill work in the Service. One credit equals 1 grosz (0.01 PLN) of the net price.
  6. Paid action: any action that uses credits, for example an answer from a language model, a measurement from a paid data provider or generating an image.
  7. AI output: content, analysis, a figure or a proposal prepared by an artificial intelligence model.
  8. Approval: confirmation of one specific change by a person authorised to do so. Standing approval: an approval with limits accepted by the End client in the client portal (§ 7).

§ 3Businesses only

  1. The Service is only for businesses and only for the purposes of their trade, business or profession. A consumer may not enter into the agreement or use the Service.
  2. At sign-up you make this declaration: “I am opening this account as a business, or on behalf of a business, for purposes directly related to its trade, business or profession, and the contract is of a professional nature for it. I am not acting as a consumer.” The box is not pre-ticked, and without it the server does not create the Account. We record the declaration together with the acceptance of these terms (§ 10).
  3. Because the agreement is of a professional nature for you, the Polish rules protecting sole traders as if they were consumers do not apply to it (Arts. 385⁵, 556⁴, 556⁵ and 576⁵ of the Polish Civil Code and Arts. 7aa and 38a of the Polish Consumer Rights Act).
  4. The person opening the Account declares that they may act on behalf of the business. The Customer and that person are responsible for an untrue declaration, and we may then terminate the agreement with immediate effect (§ 18).

§ 4Conclusion of the agreement, Account and team

  1. You open an Account with the “Start for free” form: you enter an email address and a name and tick the acceptance of the documents and the declaration in § 3. No box is pre-ticked.
  2. We send a code to that address. The agreement is concluded when you enter the code and the Account is created. An address not confirmed with a code is not an Account.
  3. You sign in with a code from your email or through a configured company sign-in. Your mailbox is the key to the Account, so its security is your responsibility (§ 12).
  4. You invite Users to the Account and give them roles. What Users do, including approvals of changes and paid actions, is an act of the Customer. When someone leaves your company, remove their access in the team settings.
  5. A current browser and an email inbox are enough. Nothing needs to be installed; after you sign in, the app stores a session cookie without which sign-in does not work.
  6. The agreement is concluded for an indefinite period.

§ 5What the Service does and does not do

  1. The Service reads connected ad accounts, business profiles, websites and mailboxes, finds problems, prepares reports, content and proposed changes, answers in a conversation and lets you approve changes under § 7. The current scope is described on the website and in the app; we develop it, but during a paid period we do not take away the essence of what you paid for.
  2. The Service does not change anything on an End client's account without an approval or outside the limits of a standing approval.
  3. The Service publishes a social media post on an End client's behalf only after an approval of that one post (rules in § 7), never in bulk, and does not send emails by itself.
  4. The Service is not legal, tax or financial advice and does not replace your own judgement or your professional responsibility towards End clients.

§ 6Artificial intelligence: what you need to know

  1. Torin is an artificial intelligence system. You are talking to a language model, not a human, and some outputs are produced by the models of the providers listed on the Subprocessors page (Art. 50 of Regulation (EU) 2024/1689, the AI Act).
  2. An AI output may contain errors, gaps and outdated information, even when it sounds confident. It is a proposal, not a finished decision.
  3. You check an AI output before you use it: before you publish it, send it, pass it to an End client or approve a change based on it.
  4. For figures we give the source and the time of reading where we have them. Information marked “not checked” (nie sprawdzono) has not been verified and must not be treated as verified.
  5. We do not guarantee business results: sales, rankings in Google, return on ad spend, cost per conversion, approval of an ad by a platform or recommendation of a business by AI models.
  6. If you publish or pass on content prepared by AI, you decide whether and how to label it, and you are responsible for that towards its recipients and under the law.
  7. We do not use your data to train models.

§ 7Account changes, publishing and mail: only with approval

  1. We make a change on an End client's ad account, business profile or website only (a) after an approval of that one change or (b) within the limits of a standing approval accepted by the End client in the client portal.
  2. Before every change we read the state of the account. If the state has changed since the approval, the change is not made, because what was approved is not what we found. The approval is checked again at the moment of execution, and an End client autonomy level lower than 2 blocks execution despite the approval.
  3. A standing approval covers only the types of change, the account and the objects named in it, at most 50% per change and a total amount limit counted from the state on the day of the approval, with a ceiling of ×3 and ×0.3 of that state, for at most 30 days. It is accepted by the End client, never by the Customer on its behalf. It is revoked by the End client or the Account owner, with immediate effect. After each use a notification with an undo option is sent.
  4. We publish a reply to a Google review, a social media post or a reply to a comment only after a separate approval of that one item, with the End client's consent recorded in the client portal and their autonomy level at least 2. There is no standing approval for publishing. Scheduling a post for a date is the same approval of that one post, with the date. Undo removes only the post we published.
  5. In the Torin Inbox mail the model never sends a message. A human sends it with a click on that one message, and the server waits (by default 60 seconds) until the window in which the sending can be undone has passed. We do not permanently delete messages.
  6. The emergency switch in the settings immediately stops the execution of account changes for the whole Account.
  7. Undo restores the state before the change if the platform allows it. It does not reverse effects that have already occurred (budget spent, impressions, a message sent after the undo window), and for some changes it is not possible.
  8. The effects of an approved change, including ad spend, are borne by the Customer. You pay ad spend to the ad platform, not to us.
  9. The Customer is responsible for having the End client's authorisations and consents for our actions on its accounts and for the person approving a change being authorised to do so.

§ 8Credits and prices

  1. Work in the Service is billed in credits. Prices of plans and top-ups are on the Pricing page and in the app, as net amounts; VAT is added under § 9.
  2. Prepaid only. A paid action does not start if the balance does not hold enough prepaid credits for its cost. Credits are reserved before the action starts. We do not work on a negative balance or on deferred payment.
  3. The price before the action. Before a paid action ordered with a button (a measurement, an analysis, a proposal) we show its price in the currency of your Account: “about X” (an estimate) or “up to X” (an upper limit), and the action starts only after you confirm that amount. If the amount has changed since you saw it, the confirmation is not valid. In a conversation with the agent in the app we show under the message box what an answer usually costs (when it can be calculated from previous answers), and the actual cost under every answer.
  4. The actual cost of the action is deducted from the balance. With an upper limit we never charge more than “up to X”. With an estimate the actual cost may differ from it, but it never exceeds the credits reserved for that action.
  5. Failed work costs no credits: if the provider returns an error, the action produces no result or is interrupted on our side, the reservation returns to the balance. Exception, against runaway scripts: once there are more than 20 failed attempts in a day, or their cost in a month exceeds 3% of the plan pool's cost, further failed attempts are billed like normal ones.
  6. Spending is also stopped by the daily and monthly ceiling of the plan and by limits per Account and per User when they are set. When they are reached, the Service stops performing paid actions instead of charging further.
  7. Automatic top-up works only if you switch it on yourself by setting a threshold and a package. Without that, no payment happens by itself. Today it requires card payments, which the Service does not support yet, so it is unavailable.
  8. Validity of credits. Plan credits are valid in the paid period; unused ones carry over to one next period and expire at the following renewal. Purchased top-up credits do not expire. They are used in order of expiry: carried-over first, then plan, then top-up. If a paid period ends without payment for the next one, plan and carried-over credits lapse and top-up credits remain.
  9. The trial pool (2,000 credits) is granted once per company, does not renew and cannot be exchanged or refunded.
  10. Credits are not money or a means of payment, cannot be exchanged for cash and cannot be transferred to another Account. We refund them only in the cases in § 11.
  11. We announce price changes at least 14 days in advance. New prices apply to later periods and orders; credits already bought keep their value.

§ 9Payments, invoices and VAT

  1. You pay in advance: for a plan period or for a top-up. Credits are added once the payment is booked.
  2. Prices are net amounts. VAT is charged according to the law in force on the date of sale, including, where applicable, the reverse charge mechanism; for domestic sales in Poland the rate is currently 23%. We bill in the currency chosen in the billing details: Polish zloty (PLN), euro (EUR) or US dollars (USD).
  3. Invoices are issued electronically and listed in the app (Billing). You accept electronic invoices.
  4. If an individual agreement lets you pay after the service and you pay late, we are entitled to statutory interest for late payment in commercial transactions and compensation for recovery costs (EUR 40) under the Polish Act on Counteracting Excessive Delays in Commercial Transactions. Until payment we may suspend paid actions.
  5. Bank and currency conversion fees are borne by the Customer. A refund or reversal of a payment with the payment operator removes the credits we added for it.

§ 10System records are evidence

  1. We record and keep:
    • the acceptance of every document and of the declaration in § 3: who, which document, which version, the SHA-256 hash of its text, the time (UTC), the IP address (behind our reverse proxy, from the X-Forwarded-For header) and the browser; the text of every version stays in the archive;
    • the confirmation of the price of a paid action: who, when, which price was shown and what it was for;
    • the credit history: every addition, use, expiry and correction, with the cost of each action;
    • every account change: who proposed it, who approved it and when, what exactly, the state before and after, the result, and for a standing approval its number, who accepted it and within which limits;
    • the activity log of the Account.
  2. You see these records in the app: Settings, Documents and consents; Billing and Usage; change history; Activity log.
  3. The records cannot be changed from the app. The parties accept them as evidence of the course of the agreement, acceptances, approvals and usage, unless either party shows that a record is wrong.

§ 11Objections to charges and refunds

  1. If you disagree with a credit charge or a payment, report it within 30 days of the charge to the address in the Email field. We answer within 14 days; a justified charge is returned to the balance.
  2. After that period the charge is deemed accepted, to the extent permitted by law.
  3. Used credits are not refunded. If you stop using the Service, unused credits are not refunded: plan credits remain until the end of the period and top-up credits until the Account is closed.
  4. If we terminate the agreement without fault on your side, or you terminate it because of a change of these terms to your detriment (§ 19), we refund the price of the unused credits you paid for (plan credits of the current period, carried-over and top-up credits), at the price you paid. Trial, reward and correction credits are not refunded.

§ 12Customer obligations

  1. You hold the rights to every account, profile, website and mailbox you connect, and the consents of their owners, including End clients, to the processing of data and to our actions.
  2. You only upload and order content that is lawful, does not infringe the rights of others and is not misleading.
  3. You comply with the rules of the platforms you use through the Service (Google, Meta and others), including their advertising policies and API terms.
  4. You must not: circumvent limits and safeguards, open further Accounts to get the trial pool, resell access without our consent, copy the Service or test its security without our consent (report vulnerabilities to the address in the Vulnerability reports field).
  5. You keep your mailbox and devices secure. You report suspected unauthorised access at once; until it is reported, actions from the Account are treated as actions of the Customer.
  6. You are responsible for Users, their approvals and the paid actions they order.
  7. If someone brings a claim against us because of a breach of these obligations (an End client, a platform, an authority), you will indemnify us and cover reasonable costs of defence.

§ 13Third-party providers

  1. The Service relies on other companies, including Google, Meta, Anthropic and OpenAI. The full list is on the Subprocessors page.
  2. We are not liable for outages of those providers, changes to their rules, APIs and prices, their limits, discontinued features, or a platform blocking or suspending your account. If a provider changes its rules, we may adapt or switch off a feature that depends on it.
  3. When you use an integration, you also comply with the terms of that platform.

§ 14Availability

  1. We make every effort to keep the Service running without interruption, but we do not guarantee it. We give no availability guarantee (SLA) unless we sign a separate agreement at least in documentary form.
  2. We may carry out maintenance; longer breaks are announced in the app where possible.
  3. We make encrypted backups, but keep important data on your side as well: screen results can be downloaded as a CSV file.
  4. We are not liable for non-performance caused by force majeure, including failures of networks and energy suppliers, attacks, decisions of authorities and events beyond our control.

§ 15Liability

  1. For non-performance or improper performance of the agreement we are liable only for actual loss. We are not liable for lost profits, indirect damage, loss of reputation or penalties imposed by platforms.
  2. Our total liability towards the Customer is limited to the net fees the Customer actually paid us in the three months before the event giving rise to the damage.
  3. We are not liable for: the effects of using an AI output without checking it; changes approved by the Customer, a User or an End client and their effects; the operation and decisions of external platforms; data and content supplied by the Customer; actions of persons who entered the Account through the Customer's mailbox; business decisions made on the basis of the Service.
  4. To the extent permitted by law, statutory warranty (rękojmia) is excluded (Art. 558 § 1 of the Polish Civil Code, also in conjunction with Arts. 638 and 750).
  5. These limitations do not apply to damage caused intentionally (Art. 473 § 2 of the Polish Civil Code) or to liability that may not be excluded or limited under mandatory law.

§ 16Complaints

  1. Send a complaint about the Service to the address in the Email field at the top of this page or report it in the app, preferably within 30 days of the event. Describe what it concerns, when it happened and what you expect.
  2. We answer within 14 days to the address the complaint came from.
  3. Objections to credit charges are handled under § 11.

§ 17Data, content and rights

  1. The data of the Customer and of End clients belongs to them. For the term of the agreement and for as long as the law requires us to keep it, the Customer grants us a non-exclusive licence to store and process it to the extent needed to provide the Service, including through subprocessors.
  2. We process personal data of End clients under the Data Processing terms and Account data under the Privacy Policy.
  3. You may use AI outputs in your business and pass them to End clients. We do not warrant that an output does not infringe the rights of others, that it is original or that no one else will receive a similar one; an output generated by a model may not be protected by copyright.
  4. The software, the TORIN name and the look of the Service belong to us or our licensors. During the agreement you may use them to the extent needed to use the Service.
  5. We may use comments and suggestions you give us to develop the Service without remuneration.

§ 18Suspension and termination

  1. You may terminate the agreement at any time: by closing the Account in the settings or by writing to the address in the Email field. Closing from the settings takes effect after 30 days, during which you can cancel it.
  2. We may terminate the agreement with 30 days' notice by sending a message to the Account owner's address.
  3. We may terminate the agreement with immediate effect if the Customer materially breaches these terms, in particular: made an untrue declaration under § 3, acts on accounts without authorisation, uploads unlawful content, abuses the Service or threatens its security, does not pay for 14 days after a reminder, or when an authority orders it.
  4. Instead of or before termination we may suspend all or part of the Service (for example paid actions or the execution of changes) when abuse or a threat is suspected. We will tell you why, unless the law forbids it.
  5. Until the closing date you can download your data: screen results as CSV and the company memory as a text file; an End client downloads its data in the client portal, and we provide the rest on request. After that we delete the Account data and revoke access to connected accounts; it disappears from encrypted backups within eight weeks at the latest. We keep what the law and accountability require: invoices, payments, credit history, the activity log and the records in § 10.
  6. Provisions that by their nature last longer (billing, records and evidence, liability, governing law) survive termination.

§ 19Changes to these terms

  1. We may change these terms for valid reasons: changes in the law, in the scope of the Service, providers or prices, security reasons or a decision of an authority.
  2. We announce a change in the app and by email to the Account owner's address at least 14 days before it takes effect, with a description of what changes. A shorter period is used only when required by law, a decision of an authority or security.
  3. Until the change takes effect you may terminate the agreement with immediate effect; the refund for a change to your detriment is described in § 11.
  4. The new version is binding from its effective date. From that day a new paid action can be ordered only after the new version has been accepted in the app; reading and features that use no credits keep working. The acceptance is recorded in the same way as at sign-up (§ 10). A new Customer accepts the version in force on the day of sign-up.

§ 20Final provisions

  1. The agreement is governed by Polish law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. Disputes are resolved by the court competent for the Provider's place of business.
  3. These terms exist in a Polish and an English version. In case of discrepancy the Polish version prevails.
  4. We communicate electronically: through the app and by email to the Account owner's address. A message sent to that address is deemed delivered; the Customer keeps the address up to date. Documentary form is sufficient for statements.
  5. If a provision is invalid, the others remain in force; it is replaced by the provision closest to its purpose.
  6. These terms, the Data Processing terms and the price list form the entire agreement. An individual agreement made at least in documentary form takes precedence. The Customer's general terms do not apply.
  7. The Customer may not transfer rights or obligations under the agreement without our consent in documentary form. We may transfer the agreement to an acquirer of our business or an organised part of it, giving advance notice; you may then terminate the agreement with immediate effect.

Working draft, before final legal review. It describes what the system actually does and does not replace a contract.
